A regular meeting of the Board of Education of the Enlarged City School District of Middletown, New York was held Thursday, October 2, 2008, at the Board of Education Office, 223 Wisner Avenue, Board President Nicholas Mauro, presiding.

Dr. Mauro called the Audit Committee meeting to order at 6:28 p.m.
At 6:55 p.m., the Audit Committee meeting was adjourned.
At 6:56 p.m., Mr. Perrino made a motion, seconded by Mr. Paul, to have an executive session to discuss matters leading to the employment history of specific personnel. Motion was unanimously approved.
Public session resumed at 8:05 p.m.
Mr. Perrino led the pledge to the flag.
Mrs. Isseks made a motion, seconded by Ms. Perkins, to approve the agenda with the following amendments: Move Action Item 1) Acceptance of 2008-2009 Middletown High School International Exchange Students, to after Approval of Minutes; Add Historical Society Introductions to after Acceptance of 2008-2009 Middletown High School International Exchange Students; Add “motions” to V) Procedural Resolutions; Add Motion to Reconsider Vote and Approval on Lesley Contract (previously approved); Move Action Item 3)4) Approval of Proposal – Professional Services at Maple Hill Elementary and Action item 3)5) Approval of Change Orders – Middletown High School, to after Letters from Community Members Read.

Dr. Mauro stated that Discussion of Agenda Format Sequence (tabled from 9/18/08 meeting) will be discussed later in the meeting.
Mr. Perrino made a motion, seconded by Ms. Tobiassen, to approve the minutes of May 21, 2008 (tabled from 9/4/08 meeting) and September 18, 2008.

Mr. Perrino introduced members of the Historical Society.
Dr. Mauro made a motion, seconded by Mrs. Isseks, to approve the following resolution:
Resolved, that there will be one Opportunity to Address the Board at each public meeting of the Board.
A discussion pursued.
Dr. Mauro withdrew his original motion to approve the resolution to have one Opportunity to Address the Board at each public meeting of the Board. Mrs. Isseks withdrew her seconding of the motion.
Dr. Mauro restated the resolution to read as follows:
Resolved, that there will be two Opportunity’s to Address the Board at each public meeting of the Board.
Mr. Perrino made a motion, seconded by Mr. Paul, to approve the restated resolution to have two Opportunity’s to Address the Board at each public meeting of the Board.

Mrs. Isseks made a motion, seconded by Mr. Paul, to approve the following resolution:
Resolved, that the Board Roundtable presentations be restricted to four minutes in duration.

A roll-call vote was taken to approve the resolution for Board Roundtable presentations to be restricted to four minutes in duration.

Dr. Mauro called for a recess at 9:02 p.m.
The meeting resumed at 9:09 p.m.
Dr. Mauro made a motion, seconded by Ms. Perkins, to amend the agenda to add: Reconsider the Vote and Approval of Lesley Contract.
A discussion pursued.
Dr. Mauro called the question to determine if the Board wished to further discuss the Lesley Contract, stating that “yes” would mean the Board would no longer discuss it and would go directly to a vote on it. “No” would mean that the conversation would continue. A roll-call vote was conducted:
Ayes: Mr. Geiger, Mrs. Knapp, Mrs. Martinez, Mr. Paul, Mr. Perrino, Ms. Tobiassen – 6. Noes: Mrs. Isseks, Ms. Perkins, Dr. Mauro - 3. Motion was declared approved.
Dr. Mauro requested a roll-call vote on the original motion to Reconsider the Vote and Approval of Lesley Contract, stating that “yes” would mean the Board will reconsider the approval of the Lesley contract. “No” would mean that the Board will not reconsider the approval of the Lesley contract:

The meeting resumed at 10:15 p.m.
Dr. Mauro made a motion, seconded by Ms. Perkins. to approve the contract with Lesley University, pending and contingent upon the approval by the District’s attorney, stating that “yes” would approve the contract with Lesley University, pending the attorney’s approval. “No” would mean that the contract is still being considered although it was previously approved.
Ayes: Mrs. Isseks, Mrs. Knapp (requested it be noted in the minutes that Mrs. Knapp voted “yes” under duress), Mr. Paul, Dr. Mauro, Ms. Perkins – 5. Noes: Mr. Geiger, Ms. Tobiassen, Mrs. Martinez, Mr. Perrino - 4. Motion was declared approved.
Mrs. Knapp requested it be noted in the minutes that she stated, “this is not a policy, that we do not have the attorney review all contracts, that is what the Superintendent is for”.
Mrs. Knapp asked if all contracts will go to the attorney for review. Dr. Mauro stated that no, they will not. Dr. Eastwood stated that he feels that now all contracts should go through the attorney first for review.
Mr. Petigrow reviewed and advised on the District’s Purchasing Policy and solicitation for professional services.
Mr. Paul made a motion, seconded by Mrs. Knapp, to proceed with conducting a traffic impact study to be completed by Clough, Harbour & Associates LLP (CHA) for the proposed new elementary school, not to exceed $11,500 to complete the scope of services(see attached). Motion was unanimously approved.

Dr. Mauro called the question to vote by roll call, to approve Change Orders – Middletown High School as listed above.

A discussion pursued. Dr. Mauro advised that Litigation – New York State Association of Small City School Districts would be tabled due to the need of further discussion and the late hour.
Mr. Geiger left the meeting and was not present for the proceeding action items.
